FactoryMore Referral Program Agreement
FactoryMore Referral Program Agreement Last Updated: [3.10.2026] This FactoryMore Referral Program Agreement (the “Agreement”) governs participation in the FactoryMore Referral Program (the “Referral Program”). By applying to, joining, accessing, or participating in the Referral Program, you agree to this Agreement. This Agreement is between you (“Referrer,” “you,” or “your”) and FactoryMore (“FactoryMore,” “we,” “us,” or “our”). Participation in the Referral Program may also be subject to FactoryMore's Terms of Service, Privacy Policy, applicable platform policies, and additional Referral Program rules displayed on FactoryMore.
1. Purpose of the Referral Program
The FactoryMore Referral Program allows approved individuals and businesses to introduce legitimate prospective companies to FactoryMore and earn commissions when those companies become eligible paying FactoryMore customers.
The Referral Program is intended to reward genuine introductions that generate legitimate new business for FactoryMore.
Participation in the Referral Program does not create an employment, agency, partnership, joint venture, franchise, fiduciary, or representative relationship between the Referrer and FactoryMore.
2. Eligibility
To participate in the Referral Program, you must:
be at least 18 years old or the age of legal majority in your jurisdiction;
maintain a valid FactoryMore account;
provide accurate and complete information;
submit a Referral Program application where required;
be approved by FactoryMore;
comply with this Agreement and applicable law.
Participation in the Referral Program is not automatic.
Approval as a Referrer does not guarantee that every company you submit will qualify for referral commission.
3. FactoryMore's Right to Approve or Reject Participation
FactoryMore reserves the right, in its reasonable discretion and subject to applicable law, to:
approve or reject any Referral Program application;
decline to activate referral privileges for an applicant;
reject an individual referral claim;
place an application, referral, commission, or payout under review;
request additional information;
suspend a Referrer's participation;
terminate a Referrer's participation;
withhold or reverse commissions where the Referral Program requirements have not been satisfied.
FactoryMore may take such action where it is not reasonably satisfied regarding the:
legitimacy;
authenticity;
suitability;
commercial purpose;
compliance;
integrity;
abuse risk;
fraud risk
of an applicant or referral activity.
FactoryMore is not required to disclose confidential fraud-detection systems, security controls, internal review criteria, or risk-scoring methods.
FactoryMore may also restrict participation based on operational, legal, compliance, payment, country, account-status, or program-capacity considerations.
4. Referral Program Account
Approved Referrers may receive access to a Referral Dashboard.
The Referral Dashboard may contain:
unique referral link;
referral code;
company referral form;
prospective referrals;
referred-company statuses;
active referred subscriptions;
pending commissions;
locked commissions;
available commissions;
lifetime earnings;
paid commissions;
payout eligibility;
payout history.
Referral links and referral codes are optional attribution mechanisms.
They are not the only ways in which FactoryMore may recognize a referral.
5. Ways to Refer a Company
FactoryMore may attribute a prospective company to a Referrer using one or more supported methods.
5.1 Referral Link
FactoryMore may provide each approved Referrer with a unique referral URL.
FactoryMore may preserve attribution through appropriate server-side records, cookies, or other lawful attribution mechanisms.
FactoryMore does not guarantee attribution based solely on cookies.
5.2 Referral Code
A prospective customer may voluntarily use a Referrer's referral code during supported registration or purchasing flows.
Use of a referral code is not mandatory.
5.3 Company Referral Claim
A Referrer may register a prospective company before that company joins FactoryMore.
The referral form may request:
company name;
company website or domain;
country;
optional contact name;
optional business email;
relationship with the company;
additional information reasonably necessary for attribution.
FactoryMore may later associate the company with the earlier referral claim.
5.4 Referral Introduction
FactoryMore may provide tools allowing Referrers to introduce prospective companies directly to FactoryMore.
Where communication is sent by FactoryMore, applicable communication, privacy, and marketing requirements will apply.
5.5 Administrative Attribution
Where a legitimate referral was not automatically recognized, authorized FactoryMore administrators may review the available evidence and assign or correct referral attribution.
Manual attribution changes may be recorded in an audit history.
Existing valid attribution should not be silently overwritten.
6. Employee Referring Their Own Employer — Explicitly Allowed
FactoryMore expressly allows an individual to refer the company they currently work for.
Employment by the referred company does not, by itself, invalidate the referral.
The Referrer may also be directly involved in the referred company's FactoryMore account or purchasing process.
For example, the Referrer may:
work for the referred company;
create the company's FactoryMore account;
manage or administer the company's account;
select a FactoryMore membership;
recommend FactoryMore internally;
participate in the purchasing decision;
make the purchasing decision;
approve the purchase;
arrange the purchase;
arrange payment;
make or facilitate payment on behalf of the company.
None of these activities automatically disqualify the referral.
Example
Alex works for ADC Company.
Alex:
joins the FactoryMore Referral Program;
registers ADC Company as a prospective referral;
later creates ADC Company's FactoryMore account;
selects an eligible FactoryMore paid subscription;
completes or arranges the payment for ADC Company.
Provided that Alex otherwise satisfies this Agreement and does not fall within the ownership or control restrictions below, ADC Company may qualify as Alex's referred company and Alex may earn the applicable Referral Commission.
6.1 No Referral Link or Code Is Required
An employee should not be required to tell their finance, procurement, or management team:
“Use my referral link.”
or:
“Enter my referral code.”
A Referrer may register the prospective company in advance.
FactoryMore may later associate the company's account with that referral using appropriate business attribution evidence.
Relevant signals may include:
normalized company domain;
company name;
country;
verified business email domain;
existing FactoryMore company identity;
company-registration information where available;
referral chronology;
account relationships;
verified payment/customer identity;
administrator-reviewed supporting evidence.
7. Owners, Shareholders and Controlling Persons Are Not Eligible to Refer Their Own Company
FactoryMore distinguishes ordinary employee referrals from referrals where the Referrer owns or materially controls the referred business.
A Referrer may not earn Referral Commission from a company if the Referrer directly or indirectly:
owns shares in the referred company;
owns equity in the referred company;
holds partnership or membership interests;
is a beneficial owner;
is the sole proprietor;
is a founder or co-founder who retains ownership;
materially controls the company;
controls an entity that owns the company;
owns an entity that controls the company;
otherwise holds a material financial ownership interest in the referred company.
The purpose of this restriction is to prevent the Referral Program from being used primarily as a disguised discount or rebate on a Referrer's own business purchase.
Eligible Example
Alex is a salaried engineer at ADC Company.
Alex owns no shares or other ownership interest in ADC Company.
Alex may refer ADC Company and may participate in the purchasing process.
Not Eligible Example Alex owns 25% of ADC Company. Alex refers ADC Company and ADC Company purchases a FactoryMore subscription. Alex is not eligible to receive Referral Commission from ADC Company's payments.
Not Eligible Example Alex owns ADC Company. Alex purchases FactoryMore for ADC Company. This is considered a purchase by Alex's own business rather than an independent referred company.
8. Senior Executives and Principal Controllers
A Referrer who serves as the company's principal executive or exercises equivalent overall control over the referred business may be treated as ineligible to receive Referral Commission from that company.
This may include roles such as:
Chief Executive Officer;
Managing Director;
equivalent principal executive;
person with effective overall control comparable to an owner.
FactoryMore may review the actual relationship rather than relying solely on job title.
An ordinary employee, manager, finance employee, procurement employee, salesperson, engineer, or other staff member is not automatically excluded merely because they participate in the purchasing process.
9. Ownership Declaration
FactoryMore may require a Referrer to answer questions such as:
“Do you directly or indirectly own, control, or hold a financial ownership interest in this company?”
A Referrer must answer such questions accurately.
Knowingly providing false ownership information may result in:
rejection of the referral;
reversal of commission;
suspension;
termination from the Referral Program;
recovery of incorrectly paid commissions.
FactoryMore may request reasonable supporting information where ownership or control is unclear.
10. Related Companies and Circumvention
A Referrer may not avoid the ownership restriction by referring:
a company held through another entity they control;
a subsidiary they control;
a business held by a nominee for their benefit;
a shell entity created for their benefit;
an entity whose purchase effectively constitutes their own business purchase.
FactoryMore may evaluate direct and indirect beneficial ownership.
11. Confidentiality of Referral Attribution
Referral attribution is generally treated as private program information.
FactoryMore will not ordinarily display the following information to normal users of the referred company solely because a referral exists:
Referrer's identity;
referral code;
commission percentage;
commission amount;
referral balance;
payout history.
Referral information may be available to:
the Referrer;
authorized FactoryMore personnel;
accounting or payment personnel;
compliance personnel;
fraud-prevention personnel;
service providers where reasonably necessary;
authorities where legally required.
Referral information should not ordinarily be displayed in:
company registration;
onboarding;
membership-selection pages;
checkout;
company dashboard;
public company profile;
ordinary transactional emails.
Nothing in this Agreement requires FactoryMore to conceal information where disclosure is required by applicable law or another binding legal requirement.
12. Relationship With the Referred Company
The referral relationship is primarily between FactoryMore and the approved Referrer.
The referred company does not need to:
know the Referrer's referral code;
use a referral link;
manually confirm the referral;
participate in the Referrer's payout process.
FactoryMore may independently determine attribution based on appropriate referral evidence.
13. Prospective Referral Claims
Submitting a company as a prospective referral does not automatically create commission rights.
FactoryMore may evaluate:
company identity;
company domain;
country;
chronology;
account history;
existing customer status;
verified business email;
referral source;
payment history;
ownership relationship;
competing claims;
evidence of genuine introduction.
A referral claim should normally exist before the qualifying conversion.
14. Existing FactoryMore Customers
A Referrer may not normally claim a company after that company has already completed the qualifying FactoryMore purchase.
A company that already exists on FactoryMore but has not yet completed an eligible paid conversion may remain eligible depending on:
referral chronology;
company status;
attribution evidence;
applicable Referral Program rules.
FactoryMore retains the right to review such cases.
15. Competing Referral Claims
A company may generally have only one commission-bearing Referrer for the same qualifying transaction or subscription relationship.
If multiple Referrers claim the same company, FactoryMore may consider:
earliest valid claim;
referral chronology;
actual introduction evidence;
company-domain evidence;
account activity;
supporting documentation;
attribution source;
fraud or manipulation indicators.
FactoryMore may place disputed referrals or commissions under review.
Simply entering the name of a well-known company before other users does not automatically establish ownership of that referral.
16. The Company Is the Referral Unit
Referral qualification is primarily based on the referred business entity rather than the number of FactoryMore user accounts.
Example:
ADC Company may have:
one user;
five employees;
three administrators;
several procurement users.
ADC Company still counts as one referred company.
Creating multiple FactoryMore accounts for the same business does not create multiple qualified companies.
17. Qualified Referred Company
A “Qualified Referred Company” means a distinct legitimate business that:
has been validly attributed to an approved Referrer;
satisfies applicable Referral Program requirements;
completes any applicable account or business validation;
enters into an eligible paid FactoryMore subscription;
successfully pays FactoryMore;
has not had the applicable payment refunded, reversed, charged back, or determined to be fraudulent;
remains otherwise eligible under this Agreement.
Creating a FactoryMore account alone does not constitute a Qualified Referred Company.
18. Referral Commission
The standard Referral Commission is:
15% of Eligible Net Revenue.
The commission percentage should be recorded when each commission is created.
If FactoryMore later changes the standard commission rate, completed historical commission records will not automatically be recalculated.
FactoryMore may establish individually agreed commission arrangements with certain Referrers where expressly agreed.
19. Recurring Commission
Subject to this Agreement, an eligible Referrer earns:
15% of Eligible Net Revenue received by FactoryMore from the Qualified Referred Company for as long as that company remains an eligible paid FactoryMore subscriber.
Referral Commission is therefore not limited to the first subscription payment.
If the referred company continues making eligible recurring subscription payments, the Referrer may continue earning commission on those eligible payments.
No commission is earned for periods during which the company does not maintain an eligible paid subscription.
Each recurring payment creates a separate commission event.
20. Subscription Cancellation and Re-Subscription
If a referred company cancels its subscription, Referral Commission stops while no eligible paid subscription exists.
FactoryMore may determine whether a later reactivation or new subscription continues the original referral relationship based on the company's identity, referral history, and applicable program rules.
FactoryMore may define additional reactivation rules to prevent abuse.
21. Eligible Net Revenue
“Eligible Net Revenue” means eligible subscription revenue actually received and retained by FactoryMore.
Eligible Net Revenue may exclude:
VAT;
sales tax;
similar transaction taxes;
refunded amounts;
chargebacks;
reversed payments;
cancelled payments;
discounts;
credits;
promotional amounts;
free subscriptions;
amounts not actually received by FactoryMore;
non-eligible products or services.
Referral Commission is not created merely because a user chooses a paid membership.
FactoryMore must first receive a valid eligible payment.
22. Commission Holding Period
Each Referral Commission is subject to a:
30-day holding period.
The 30-day period begins from the date FactoryMore confirms receipt of the applicable eligible payment.
During this period, the commission remains:
Locked
and cannot be withdrawn.
If the underlying payment remains valid after the 30-day holding period and no disqualifying event has occurred, the commission becomes:
Available
Each commission has its own independent 30-day holding period.
A new referral or new commission does not restart the holding period for earlier commissions.
23. Commission Statuses
Referral Commissions may use statuses such as:
Pending
A potential commission event has been recorded but has not yet completed all required validation.
Locked
The commission is within its 30-day holding period.
Available
The commission has completed the holding period and may be eligible for payout.
Payout Requested
The Referrer has requested payment.
Paid
FactoryMore has processed the commission payment.
Reversed
The commission has been reversed due to refund, chargeback, error, fraud, invalid attribution, or another disqualifying event.
Cancelled
The commission has been cancelled before becoming payable.
Under Review
FactoryMore is reviewing the referral, payment, or commission.
24. Two-Company Withdrawal Requirement
A Referrer may not request payout until at least:
two separate Qualified Referred Companies
have completed eligible paid conversions.
This is a core requirement of the FactoryMore Referral Program.
Example
ADC Company converts.
Dashboard:
1 of 2 qualified companies
The Referrer may accumulate commission but cannot yet withdraw it.
Later, XYZ Manufacturing converts.
Dashboard:
2 of 2 qualified companies
The Referrer may now request payout of Available Commission, subject to the other requirements of this Agreement.
24.1 Two Accounts From One Company Do Not Count as Two Companies
Multiple users, accounts, branches, or registrations belonging to the same underlying business must not automatically satisfy the two-company requirement.
FactoryMore may consider:
business identity;
domain;
registration details;
beneficial ownership;
payment identity;
related companies;
corporate relationship.
FactoryMore may reject structures created primarily to circumvent the two-company requirement.
24.2 Employee Referrals Count
A legitimate employer referral counts toward the two-company requirement.
Example:
Alex refers ADC Company, where Alex works.
ADC Company becomes a Qualified Referred Company.
Alex now has:
1 of 2 qualified companies.
Alex later refers an unrelated XYZ Manufacturing.
XYZ becomes a Qualified Referred Company.
Alex now has:
2 of 2 qualified companies.
25. Payout Method
Referral payouts are made by:
Bank Transfer.
Before receiving payout, the Referrer must provide accurate bank-account information and any other information reasonably required to process the payment.
FactoryMore may require:
identity verification;
bank-account verification;
payment information;
tax information where necessary;
compliance information.
FactoryMore may delay payment where submitted payout information is:
incomplete;
incorrect;
inconsistent;
under review;
unsupported.
26. Payout Eligibility
A payout may only be requested when:
the Referrer remains eligible;
at least two separate Qualified Referred Companies have been achieved;
Available Commission is greater than zero;
required payout information has been provided;
applicable verification has been completed;
there is no unresolved fraud or compliance hold.
Commission that remains Pending or Locked cannot be withdrawn.
27. Bank Charges and Currency Conversion
Bank transfers may involve:
receiving-bank fees;
intermediary-bank fees;
international transfer charges;
currency-conversion charges.
FactoryMore may deduct or pass through applicable transfer costs where reasonably necessary and where disclosed through the applicable payout process.
28. Refunds, Chargebacks and Reversals
No commission is owed on revenue that FactoryMore does not ultimately retain.
If the underlying payment is:
refunded;
reversed;
charged back;
cancelled;
determined to be fraudulent;
credited incorrectly,
FactoryMore may:
cancel a Pending Commission;
reverse a Locked Commission;
reverse an Available Commission;
deduct the amount from future commissions;
offset the amount against unpaid balances;
request repayment where a commission was already paid in error.
29. Taxes
The Referrer is responsible for determining and satisfying taxes, declarations, invoices, registrations, reporting obligations, and similar requirements applicable to referral income.
FactoryMore may:
request tax information;
make legally required deductions;
make required withholding;
require documentation before payout.
FactoryMore does not provide tax advice.
30. Prohibited Conduct
A Referrer must not:
create fake companies;
create fake identities;
create duplicate businesses solely to earn commission;
create shell businesses to satisfy the two-company rule;
create multiple FactoryMore accounts for one company and present them as separate companies;
claim a company after its qualifying transaction;
knowingly provide false referral information;
provide false ownership information;
manipulate attribution;
manipulate payment events;
manipulate refunds or chargebacks;
interfere with another Referrer's valid attribution;
impersonate another person;
use automated fake registrations;
use cookie stuffing;
use deceptive redirects;
create fraudulent traffic;
make unauthorized claims on behalf of FactoryMore;
falsely claim to be an employee or representative of FactoryMore;
send unlawful spam;
make misleading claims regarding FactoryMore;
abuse FactoryMore trademarks;
otherwise engage in fraudulent, deceptive, or abusive activity.
31. What Is Not Automatically Considered Abuse
The following does not, by itself, constitute Referral Program abuse:
working for the referred company;
recommending FactoryMore internally;
creating the referred company's FactoryMore account;
managing the account;
participating in the purchasing decision;
approving the purchase;
working in finance;
working in procurement;
arranging payment;
completing payment on behalf of the referred company.
These activities are permitted provided that the Referrer does not fall within the ownership/control exclusions and otherwise complies with this Agreement.
32. Referral Timing
Referral chronology must be preserved.
Correct sequence:
Referral established → Company joins or converts → Eligible payment → Commission
A person may not ordinarily:
Find an existing paying FactoryMore customer → Claim it afterward → Receive commission
FactoryMore may reject retroactive referral claims.
33. Fraud and Risk Review
FactoryMore may review referral activity before or after conversion.
FactoryMore may request reasonable information concerning:
identity;
company identity;
relationship with the company;
company ownership;
referral timing;
acquisition source;
competing referrals;
payment;
duplicate accounts;
suspicious activity.
Commissions may remain Pending, Locked, or Under Review during an investigation.
34. Errors and Referral Disputes
Referral-tracking systems are not guaranteed to be error-free.
If a Referrer believes attribution or commission was recorded incorrectly, the Referrer should report the issue within:
60 days
of the relevant event becoming visible or reasonably discoverable.
FactoryMore may investigate and correct legitimate errors.
FactoryMore is not required to accept unsupported referral claims submitted indefinitely after the relevant transaction.
35. Marketing and Communications
Referrers are responsible for ensuring that their promotional activities comply with applicable:
marketing laws;
advertising laws;
privacy laws;
email laws;
anti-spam requirements;
endorsement rules;
telecommunications rules.
Referrers must not:
send unlawful unsolicited commercial messages;
make false claims about FactoryMore;
promise unauthorized discounts;
promise unauthorized functionality;
make guarantees FactoryMore has not approved;
represent themselves as authorized FactoryMore employees or agents.
36. FactoryMore Brand
FactoryMore names, logos, trademarks, designs, graphics, and related brand assets remain the property of FactoryMore or their respective owners.
Participation in the Referral Program does not transfer ownership of FactoryMore intellectual property.
Approved promotional materials may only be used:
for legitimate Referral Program activity;
according to applicable FactoryMore guidelines;
while participation remains active.
FactoryMore may require correction or removal of improper brand usage.
37. Privacy and Referral Data
FactoryMore will process Referral Program information in accordance with its applicable privacy practices.
Referrers must only provide information they are lawfully permitted to provide.
Referral data obtained through FactoryMore may not be used for:
resale;
unrelated marketing;
unauthorized profiling;
unlawful solicitation;
unrelated commercial purposes.
38. Program Changes
FactoryMore may modify the Referral Program, including:
commission rates;
eligible services;
eligibility criteria;
attribution methods;
holding periods;
payout procedures;
supported countries;
payout methods;
qualifying transaction rules;
program functionality.
Material changes should be communicated through reasonable methods, which may include:
website notice;
Referral Dashboard notice;
email.
Changes to future commission rates should normally apply prospectively unless a change is required because of:
fraud;
error;
abuse;
law;
regulatory obligation;
previously disclosed program rules.
Historical completed commission records will not normally be recalculated solely because FactoryMore later changes the standard rate.
39. Suspension
FactoryMore may temporarily suspend:
Referral Program participation;
new referral submissions;
commissions;
payout requests;
while investigating suspected:
fraud;
program abuse;
inaccurate information;
duplicate identities;
ownership conflicts;
payment risk;
legal or compliance issues.
A temporary suspension does not necessarily mean that misconduct has been established.
40. Termination
Either FactoryMore or the Referrer may end participation in the Referral Program.
FactoryMore may immediately suspend or terminate participation for material violations, including:
fraud;
deliberate abuse;
false ownership declarations;
payment manipulation;
unlawful conduct;
material breach of this Agreement.
Upon termination:
access to referral tools may end;
new referrals may no longer be accepted;
new commissions may no longer accrue.
Unless termination results from fraud, manipulation, unlawful conduct, or another disqualifying breach, legitimate Available Commission earned before termination may remain subject to the normal payout conditions.
41. Independent Relationship
Referrers are independent participants.
Nothing in this Agreement creates:
employment;
agency;
partnership;
joint venture;
franchise;
fiduciary relationship.
A Referrer has no authority to:
bind FactoryMore;
enter agreements on behalf of FactoryMore;
incur obligations in FactoryMore's name;
make guarantees for FactoryMore.
42. No Guarantee of Earnings
FactoryMore does not guarantee:
referrals;
conversions;
subscription duration;
commissions;
income;
any particular level of earnings.
Referral earnings depend on actual legitimate referred businesses and eligible revenue received by FactoryMore.
43. Service Availability
FactoryMore does not guarantee that referral tracking, referral dashboards, commission systems, or payout systems will operate without interruption or error.
FactoryMore may perform maintenance, correct errors, and investigate attribution or commission discrepancies.
44. Limitation of Liability
To the maximum extent permitted by applicable law, FactoryMore will not be responsible for indirect, incidental, special, exemplary, punitive, or consequential losses arising solely from participation in the Referral Program.
Nothing in this Agreement excludes liability that cannot lawfully be excluded.
45. Referrer Responsibility
The Referrer remains responsible for their own:
employment obligations;
contractual obligations;
professional obligations;
internal company policies;
legal obligations;
tax obligations.
FactoryMore's decision to permit employee referrals does not waive obligations the Referrer may independently owe to another person or organization.
46. Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted.
47. Entire Referral Program Agreement
This Agreement, together with applicable FactoryMore platform policies and any expressly incorporated Referral Program rules, governs participation in the FactoryMore Referral Program.
A specifically negotiated written referral arrangement may override this Agreement only where FactoryMore expressly agrees to that arrangement.
